Terms of Service

Welcome to LookOwt. These Terms of Service ("Terms") govern your access to and use of the LookOwt mobile application and related services (collectively, the "Service"), operated by Glodux Digital Labs Inc. ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

• You must provide accurate and complete information when creating an account, including a valid phone number and email address.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to notify us immediately at info@lookowt.app if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

3. Description of the Service

LookOwt is a personal safety and community awareness platform that provides:

• Safety Circle: Share your real-time location with trusted contacts you invite to your Safety Circle.
• Emergency SOS: Trigger an emergency alert that shares your live location and optional audio recording with your Safety Circle members.
• Geofences: Create geographic boundaries and receive alerts when Safety Circle members enter or leave designated areas.
• Check-In Monitoring: Schedule periodic check-ins that alert your Safety Circle if you fail to confirm your safety.
• Security Tips: View and contribute community-sourced security tips and incident reports in your area.
• USSD SOS: Trigger an SOS emergency alert via USSD (*384*767669#) without requiring an internet connection (available in supported regions).

4. Subscriptions and Payments

4.1 Free and Premium Tiers

The Service offers a free Basic tier and a paid Premium tier with enhanced features and higher usage limits.

4.2 In-App Purchases

Premium subscriptions may be purchased through the Apple App Store, Google Play Store, or other supported payment providers (such as Monnify for users in Nigeria). All purchases are subject to the terms and refund policies of the respective platform.

4.3 Billing and Renewal

• Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• For App Store and Google Play subscriptions, manage cancellation through your device's subscription settings.
• For subscriptions through other payment providers, cancellation instructions will be provided at the time of purchase.

4.4 Refunds

Refund requests for App Store and Google Play purchases must be directed to Apple or Google respectively. For other payment methods, contact us at info@lookowt.app.

4.5 Downgrade

If your Premium subscription expires or is cancelled, your account will be downgraded to the Basic tier. Features and limits will revert to Basic tier levels. Existing data that exceeds Basic tier limits will be preserved but may become read-only until you reduce usage or resubscribe.

5. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Post false, misleading, or fabricated security tips or incident reports.
• Harass, threaten, stalk, or intimidate other users through the Service.
• Use the Service to track or monitor any person without their knowledge and explicit consent.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit malicious code, viruses, or any other harmful content.
• Use automated means (bots, scrapers, etc.) to access or interact with the Service without our written permission.
• Abuse the SOS or emergency features for non-emergency purposes.
• Post security tips containing hate speech, graphic violence, or content that promotes illegal activity.

6. User-Generated Content

6.1 Your Content

You retain ownership of any content you submit through the Service, including security tips, comments, and incident reports ("User Content").

6.2 License Grant

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely in connection with operating and providing the Service.

6.3 Content Standards

User Content must not violate these Terms, any applicable law, or the rights of any third party. We reserve the right to remove, moderate, or deactivate any User Content that violates these Terms, without prior notice.

6.4 Anonymous Posting

You may submit security tips anonymously. Anonymous tips will not display your identity to other users, but we may retain internal records for abuse prevention and legal compliance purposes.

6.5 Community Voting

Users may upvote or downvote security tips. Vote counts are displayed publicly but individual votes are not attributed to specific users.

7. Safety Circle and Location Sharing

7.1 Consent-Based Sharing

Location sharing within the Service is consent-based. You choose who to add to your Safety Circle, and invitees must accept before any data is shared.

7.2 Your Responsibility

You are responsible for managing who is in your Safety Circle. You may remove members at any time. We are not liable for how Safety Circle members use the location or safety information shared with them.

7.3 Background Location

Certain features (SOS, geofences, check-ins) require background location access. You can revoke background location permissions at any time through your device settings, which will limit the functionality of these features.

8. Emergency Features Disclaimer

LookOwt is NOT a replacement for emergency services (such as 911, 112, or local emergency numbers).

• The SOS feature notifies your Safety Circle members and, where available, designated community emergency contacts. It does not automatically contact police, fire, ambulance, or any government emergency service.
• The USSD SOS feature operates over cellular networks without internet access but is subject to network availability and coverage.
• We do not guarantee the availability, reliability, or timeliness of any alert, notification, or location data.
• In any emergency, always contact your local emergency services directly.
• We are not liable for any injury, damage, or loss resulting from reliance on the Service's emergency features.

9. Geofences and Monitoring

• Geofence alerts depend on device GPS accuracy, network connectivity, and background location permissions. We do not guarantee the precision or timeliness of geofence alerts.
• Check-in monitoring depends on the user responding to scheduled prompts. A missed check-in does not necessarily indicate an emergency.
• These features are tools to assist personal safety awareness and are not a substitute for direct communication or professional monitoring services.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

11. Intellectual Property

• The Service, including its design, code, features, logos, and branding, is owned by Glodux Digital Labs Inc. and is protected by copyright, trademark, and other intellectual property laws.
• You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Service without our prior written consent.
• "LookOwt" and the LookOwt logo are trademarks of Glodux Digital Labs Inc.

12. Account Deletion

• You may delete your account at any time from within the app.
• Upon deletion, your personal data (profile, location history, Safety Circle connections, geofences, SOS records, and notifications) will be permanently deleted.
• Security tips and comments you have posted will be anonymized (your identity removed) but the content will be preserved for community safety purposes.
• Account deletion is irreversible. You will need to create a new account if you wish to use the Service again.

13. Termination and Suspension

We reserve the right to suspend or terminate your account, with or without notice, if:

• You violate these Terms.
• You abuse the emergency or SOS features for non-emergency purposes.
• You post false or malicious security tips.
• You engage in harassment or illegal activity through the Service.
• We are required to do so by law.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Location data will be accurate or timely.
• Notifications or alerts will be delivered successfully.
• The Service will meet your specific requirements.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLODUX DIGITAL LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF LIFE, PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY U.S. DOLLARS ($50), WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify, defend, and hold harmless Glodux Digital Labs Inc. and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your User Content.
• Your violation of any rights of another person or entity.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria and, where applicable, the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body, with proceedings conducted in English.

18. Third-Party Services

The Service integrates with third-party platforms and services (including Apple App Store, Google Play Store, Firebase, Google Maps, and payment processors). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of any third-party service.

19. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the app or on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

21. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Glodux Digital Labs Inc. regarding the Service and supersede all prior agreements, understandings, or representations.
